1. Acceptance of Terms
By accessing or using Codewoxy Solutions, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
2. Scope of Services
Codewoxy provides high-end software development, artificial intelligence integration, and technical consulting. The specific scope of work, deliverables, and timelines for any engagement will be defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.
3. Intellectual Property
Upon receipt of full payment, all custom code and deliverables developed specifically for the client shall be owned by the client. However, Codewoxy retains all rights to its pre-existing libraries, proprietary frameworks, and general expertise developed prior to or independently of the project.
4. Payment Terms
Invoices are issued according to the milestones defined in the project proposal. Payments are due within 15 days of the invoice date unless otherwise specified. Codewoxy reserves the right to suspend work or withhold deliverables if payments are significantly overdue.
5. Confidentiality
We value your privacy and intellectual property. Both Codewoxy and the client agree to maintain the confidentiality of all proprietary information, including business processes, source code, and trade secrets, exchanged during the duration of the partnership. This obligation survives the termination of the service agreement.
6. Limitation of Liability
To the maximum extent permitted by law, Codewoxy shall not be liable for any indirect, special, or consequential damages, including loss of profits or data, arising from the use of our software or services. Our total liability is limited to the fees paid for the specific project phase causing the claim.
7. Governing Law
These terms are governed by and construed in accordance with the laws of the jurisdiction in which Codewoxy is registered, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts of that jurisdiction.
8. Amendments
Codewoxy reserves the right to modify these Terms of Service at any time. We will notify clients of any significant changes via email or through a prominent notice on our website. Continued use of our services after such changes constitutes acceptance of the new terms.
